Des de quan s&#8217;ha estat forjant aquesta operaci\u00f3 d&#8217;adquisici\u00f3?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><strong>RESPOSTA. <\/strong>Tot es va iniciar al maig de 2021, quan vaig rebre un mandat per part del Consell, despr\u00e9s d&#8217;analitzar qu\u00e8 estava passant en el mercat espanyol, la qual cosa ens estava passant a nosaltres i com estava actuant la resta de stakeholders del sector (laboratoris, majoristes, etc.). A partir d&#8217;aquest mandat vaig iniciar la cerca a nivell mundial i vaig comen\u00e7ar moure&#8217;m per Europa, valorant diferents opcions, fins que vam triar a Hygie31.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-llavors-va-ser-una-operacio-que-va-partir-decoceutics\"><\/span><strong>P. Llavors, va ser una operaci\u00f3 que va partir d\u2019Ecoceutics?&nbsp;<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><strong>R.<\/strong> Va partir de tots dos. Nosaltres est\u00e0vem buscant i ells estaven tamb\u00e9 sondejant i ells es van posar en contacte amb nosaltres perqu\u00e8 els havia arribat una certa informaci\u00f3 i a partir d&#8217;aqu\u00ed comencem a parlar.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-lobjectiu-daquesta-operacio-era-exclusivament-buscar-recursos-economics\"><\/span><strong>P. L&#8217;objectiu d&#8217;aquesta operaci\u00f3 era exclusivament buscar recursos econ\u00f2mics?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><strong>R. <\/strong>Un dels punts era aquest, perqu\u00e8 tot el tecnol\u00f2gic i digital, treballar amb algorismes, actualitzar processos, treballar amb *bots, etc. costa molt, amb la qual cosa busc\u00e0vem a alg\u00fa que ens ajud\u00e9s en aix\u00f2. Per\u00f2 tamb\u00e9 busc\u00e0vem a alg\u00fa que fos m\u00e9s que un soci financer, que ens pogu\u00e9s ajudar en una cosa en la qual nosaltres som febles, com la gesti\u00f3 del punt de venda f\u00edsic. Tenim unes farm\u00e0cies amb un disseny, \u00e9s cert, i dins del territori espanyol, juntament amb Tr\u00e8vol, som els que tenim m\u00e9s clar el concepte del que \u00e9s el punt de venda f\u00edsic, per\u00f2 aix\u00f2 no lleva que el nostre model no \u00e9s impermeable a les cr\u00edtiques. Jo no et puc demostrar que si fas el que et dic a nivell de concepte creixer\u00e0s un 20%. Jo et puc demostrar que creixer\u00e0s m\u00e9s que el mercat, per\u00f2 no s\u00e9 si un u o un tres, per la qual cosa una de les variables era buscar a alg\u00fa que tingu\u00e9s experi\u00e8ncia en aquesta part, que era una manca que ten\u00edem. Nosaltres som molt bons a nivell tecnologia, per\u00f2 no tant en el punt de venda f\u00edsic.<\/p>\n\n\n\n<figure class=\"wp-block-pullquote\"><blockquote><p>&#8220;Busc\u00e0vem a alg\u00fa que ens pogu\u00e9s ajudar en la gesti\u00f3 del punt de venda f\u00edsic&#8221;<\/p><\/blockquote><\/figure>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-quins-han-estat-els-termes-daquesta-operacio-han-adquirit-lempresa-al-complet\"><\/span><strong>P. Han adquirit l&#8217;empresa al complet?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><strong>R<\/strong>. \u00c9s una adquisici\u00f3 del cent per cent del capital de l&#8217;empresa. Fins a finals de juny els nostres accionistes eren farmac\u00e8utics que, al seu torn, eren clients, i aqu\u00ed ja ten\u00edem una dualitat distorsionadora, perqu\u00e8 quan tu ets propietari i ets client, a vegades, \u00e9s dif\u00edcil separar i vols que es faci el que tu vols perqu\u00e8 li va b\u00e9 a la teva farm\u00e0cia, encara que no li vagi b\u00e9 a la resta. Amb aquesta adquisici\u00f3 aconseguim evitar aix\u00f2. Tenim un propietari que \u00e9s Hygie31, que tenen altres marques, que formen cadenes independents de farm\u00e0cies. A Fran\u00e7a, les farm\u00e0cies d&#8217;Hygie31 s\u00f3n propietat dels seus farmac\u00e8utics, que lliurement decideixen associar-se.&nbsp;&nbsp;&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-ha-quant-ha-ascendit-la-compra\"><\/span>P. Abans de final d&#8217;any incorporarem entre sis i vuit persones m\u00e9s. Per tant, no tirem a ning\u00fa, sin\u00f3 que incorporem a gent. I \u00e9s que, es necessitar\u00e0 per al pla estrat\u00e8gic que hem dissenyat nosaltres, perqu\u00e8 Hygie31 \u00e9s el nostre propietari, per\u00f2 tenim absoluta autonomia per a fer el que considerem. El pla estrat\u00e8gic no ens ve impost. Que ning\u00fa pensi que comen\u00e7arem a muntar farm\u00e0cies exactament iguals a les de Lafayette, per exemple. Adaptarem el model, partint de la base que hi ha coses que ells fan molt b\u00e9 i ho copiarem i ho adaptarem.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-a-quins-departaments-sincorporaran-aquests-fitxatges\"><\/span><strong>P. El primer \u00e9s la llibertat. Les farm\u00e0cies s\u00f3n lliures d&#8217;associar-se i d&#8217;anar-se. A la gent l&#8217;has d&#8217;enamorar no obligar, per\u00f2 tenim clar que el que farem ser\u00e0 un abans i despr\u00e9s per a les nostres farm\u00e0cies.<\/p>\n\n\n\n<p>Un altre punt \u00e9s eliminar tots els punts de fricci\u00f3 que existeixen en una farm\u00e0cia cap al client, pacient, societat. Vam fer un estudi socioecon\u00f2mic d&#8217;Espanya amb una de les consultores m\u00e9s grans del m\u00f3n, i vam fer focus group, amb pacients des de 20 a 80 anys, per a veure aquests punts de fricci\u00f3. I et poso dos exemples: entren en deu farm\u00e0cies i nou no tenen els preus posats, amb la qual cosa en totes les farm\u00e0cies s&#8217;exposaran els preus, eliminant, aix\u00ed, aquest punt de fricci\u00f3. Segons els estudis, com a m\u00e0xim, el 10% de les compres s\u00f3n racionals; el 90%, no. En canvi, en les farm\u00e0cies, \u00e9s al contrari. On aporta m\u00e9s valor afegit el farmac\u00e8utic, venent una crema antiarrugues o fent campanyes sanit\u00e0ries, com el cribratge de c\u00e0ncer de c\u00f2lon, o de c\u00e0ncer de coll d&#8217;\u00fater o els test d&#8217;ant\u00edgens? La meva opini\u00f3, \u00e9s que on aporta m\u00e9s el farmac\u00e8utic \u00e9s en aquesta acci\u00f3 sanit\u00e0ria. No estem en contra que es vengui la crema antiarrugues, per\u00f2 creiem que el farmac\u00e8utic aporta m\u00e9s valor en aquestes altres accions sanit\u00e0ries. Per aix\u00f2, volem treballar perqu\u00e8 el farmac\u00e8utic pugui invertir el m\u00e0xim del seu temps o fins i tot tot el seu temps en accions que benefici\u00efn a la societat, perqu\u00e8 creiem que el model actual evolucionar\u00e0; veur\u00e0 canvis legislatius i nosaltres no podem esperar que vinguin per a comen\u00e7ar a introduir canvis, cal fer-los ja.<\/p>\n\n\n\n<p>&nbsp; <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-que-copiaran-de-franca\"><\/span><strong>P. La filosofia amb la qual es va crear Ecoceutics va ser la d&#8217;ajudar al farmac\u00e8utic i al client. Ens hem centrat molt a ajudar al farmac\u00e8utic, facilitant-li moltes eines tecnol\u00f2giques que li han facilitat el seu dia a dia (des de la targeta client fins a algorismes que et diuen qu\u00e8 has de comprar i quan). Per\u00f2 creiem que la idea fundacional que s&#8217;havia d&#8217;ajudar a la societat, no ho hem fet prou b\u00e9. I \u00e9s on ens hem de centrar m\u00e9s. Hem de donar acc\u00e9s als productes a m\u00e9s part de la poblaci\u00f3 i fer que el farmac\u00e8utic se centri en all\u00f2 on aporta major valor afegit, com els serveis sanitaris. A Fran\u00e7a, el farmac\u00e8utic bovina, pot diagnosticar en \u00e8poques d&#8217;epid\u00e8mia, com la grip, per la qual cosa ja no se saturen els centres de salut. All\u00ed, el farmac\u00e8utic exerceix una s\u00e8rie de funcions que el d&#8217;Espanya no pot fer perqu\u00e8 la llei no ho permet, amb la qual cosa no es faran, per\u00f2 les que la llei permeti els farmac\u00e8utics d\u2019Ecoceutics les estaran fent. Si s\u00f3n reformes o redisseny, els costos els haur\u00e0 d&#8217;assumir cada farmac\u00e8utic?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p><strong>R.<\/strong>&nbsp;Nosaltres ens fem c\u00e0rrec d&#8217;una part, la qual cosa seria el disseny, els plans en 3D, i el farmac\u00e8utic es fa c\u00e0rrec del moble, el que passa \u00e9s que hem aconseguit que on abans es pagava 10 hem aconseguit pagar 6. Per\u00f2 els canvis s\u00f3n petits, el que fem \u00e9s adaptar el que hi ha.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-aquests-serveis-professionals-que-esmenta-simposaran-en-totes-les-farmacies-o-elles-podran-triar\"><\/span><strong>P. Si la parafarm\u00e0cia creix un 25% anual, probablement, podr\u00e0s contractar m\u00e9s gent i pots dedicar-te a altres coses, com els serveis sanitaris. Que els imposarem? No. Volem que les nostres farm\u00e0cies ho facin? Tamb\u00e9 continuaran el Comit\u00e8 de Vendes, que ens ajudar\u00e0 en tot el relacionat amb les negociacions i posicionament, i el Consell Assessor, que donar\u00e0 la seva visi\u00f3 sobre com poden afectar els canvis d&#8217;aplicatius per a desenvolupar accions concretes.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"p-com-funcionaran-aquests-comites\"><\/span>P.
